Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Project Kate platform at projectkate.com and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

“Project Kate,” “we,” “our,” or “us” refers to the operator of the Services. “You” or “your” refers to the individual or entity using the Services.

1. The Services

Project Kate is a platform for building and evaluating AI agents. The Services include:

  • Agent Management. Creating, configuring, and managing AI agents.
  • Knowledge Ingestion. Uploading and organizing knowledge documents for agents.
  • Automated Evaluation. Running evaluation pipelines that score agent performance using automated metrics.
  • Deployment. Deploying agents to cloud infrastructure.
  • API and CLI Access. Programmatic access to all platform capabilities.

2. Account Registration

To use the Services, you must create an account by providing a valid name and email address, or by signing in through Google OAuth. You are responsible for:

  • Maintaining the confidentiality of your account credentials and API keys.
  • All activity that occurs under your account.
  • Notifying us immediately if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms.

3. Acceptable Use

You agree to use the Services only for lawful purposes. You may not:

  • Upload content that is illegal, harmful, defamatory, or infringes on the intellectual property rights of others.
  • Attempt to access, modify, or delete data belonging to other users.
  • Circumvent or abuse rate limits, authentication mechanisms, or other security measures.
  • Use the Services to develop a competing product or service.
  • Reverse-engineer, decompile, or disassemble any part of the Services.
  • Use automated means to scrape, crawl, or extract data from the Services beyond normal API usage.
  • Introduce malicious code, viruses, or other harmful material.

We may investigate and take action against violations, including suspension or termination of your account.

4. Your Data

4.1 Ownership

You retain all ownership rights to the content you upload to the Services, including knowledge documents, agent configurations, and evaluation data (“Your Data”).

4.2 License to Us

By uploading Your Data, you grant us a limited license to host, process, and display it solely as necessary to provide the Services to you. This license terminates when you delete Your Data or your account.

5. Evaluations and Scores

The Services include automated evaluation pipelines that generate scores and summaries for your agents. You acknowledge that:

  • Evaluation scores are generated by automated processes and may not be fully accurate.
  • Scores are provided for informational purposes and should not be the sole basis for critical decisions.
  • Evaluation methodologies may change over time, which may affect scores.

6. Deployments

When you deploy an agent through the Services, you are responsible for:

  • Ensuring the deployed agent complies with applicable laws and regulations.
  • Any costs incurred through third-party hosting providers.
  • The behavior and output of your deployed agents.

7. Fees and Payment

The Services are currently offered free of charge. We reserve the right to introduce paid plans or usage-based pricing in the future. If we do, we will provide reasonable advance notice and you may choose to discontinue use.

8. Proprietary Rights

8.1 Our Rights

The Services, including all software, designs, documentation, and trademarks, are owned by Project Kate and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described herein.

8.2 Feedback

If you provide suggestions, ideas, or feedback about the Services, we may use them without obligation or compensation to you.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Services will be uninterrupted, error-free, or secure.
  • Evaluation scores or AI-generated content will be accurate or complete.
  • The Services will meet your specific requirements.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROJECT KATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to indemnify and hold harmless Project Kate from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including intellectual property rights.
  • Content you upload to the Services.

12. Term and Termination

12.1 Term

These Terms are effective when you first access the Services and remain in effect until terminated.

12.2 Termination by You

You may stop using the Services and request account deletion at any time by contacting us.

12.3 Termination by Us

We may suspend or terminate your access at any time, with or without cause, with or without notice. Grounds for termination include violation of these Terms, extended inactivity, or discontinuation of the Services.

12.4 Effect of Termination

Upon termination, your right to use the Services ceases immediately. Sections 4.1, 9, 10, 11, and 14 survive termination.

13. Modifications

We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last Updated” date. Material changes will be communicated via email or a notice within the Services. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

14. General Provisions

  • Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Project Kate regarding the Services.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
  • Waiver. Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
  • Force Majeure. Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, pandemics, or internet outages.
